Terms of Service
Last updated: October 20, 2026
1. Introduction
Welcome to Codex Data Inc. ("Company", "we", "our", "us")! As you have just clicked our Terms of Service, please pause, grab a cup of coffee and carefully read the following pages. It will take you approximately 20 minutes.
These Terms of Service ("Terms", "Terms of Service") govern your use of our web pages located at https://codex.io operated by Codex Data Inc.
Our Privacy Policy also governs your use of our Service and explains how we collect, safeguard and disclose information that results from your use of our web pages. Please read it here https://codex.io/privacy.
Your agreement with us includes these Terms and our Privacy Policy ("Agreements"). You acknowledge that you have read and understood Agreements, and agree to be bound of them.
If you do not agree with (or cannot comply with) Agreements, then you may not use the Service, but please let us know by emailing at hello@codex.io so we can try to find a solution. These Terms apply to all visitors, users and others who wish to access or use Service.
Thank you for being responsible.
2. Communications
By creating an Account on our Service, you agree to subscribe to newsletters, marketing or promotional materials and other information we may send. However, you may opt out of receiving any, or all, of these communications from us by following the unsubscribe link or by emailing at.
3. Purchases
If you wish to purchase any product or service made available through Service ("Purchase"), you may be asked to supply certain information relevant to your Purchase including, without limitation, your credit card number, the expiration date of your credit card, your billing address, and your shipping information.
You represent and warrant that: (i) you have the legal right to use any credit card(s) or other payment method(s) in connection with any Purchase; and that (ii) the information you supply to us is true, correct and complete.
We may employ the use of third party services for the purpose of facilitating payment and the completion of Purchases. By submitting your information, you grant us the right to provide the information to these third parties subject to our Privacy Policy.
We reserve the right to refuse or cancel your order at any time for reasons including but not limited to: product or service availability, errors in the description or price of the product or service, error in your order or other reasons.
We reserve the right to refuse or cancel your order if fraud or an unauthorized or illegal transaction is suspected.
Account activation fee. Creating an account requires a one-time account activation fee of US$1.00, payable by credit or debit card, or as the equivalent 1 USDC through our third-party crypto payment processor. The fee is charged once at signup, is not a subscription, and does not recur. Its purpose is to confirm that a valid payment method is associated with the account and to deter automated abuse of Service. Your account is not activated until the fee is received.
The account activation fee is non-refundable, including if you subsequently close, delete, or stop using your account, and including where your account is suspended or terminated under these Terms. Where you pay the fee by card, that card is stored as your default payment method for any future Subscription you choose to purchase.
4. Subscriptions
Some parts of Service are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set either on a monthly or annual basis, depending on the type of subscription plan you select when purchasing a Subscription.
At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or Codex Data Inc. cancels it. You may cancel your Subscription renewal either through your online account management page or by contacting Codex Data Inc. customer support team.
A valid payment method, including credit card, is required to process the payment for your subscription. You shall provide Codex Data Inc. with accurate and complete billing information including full name, address, state, zip code, telephone number, and a valid payment method information. By submitting such payment information, you automatically authorize Codex Data Inc. to charge all Subscription fees incurred through your account to any such payment instruments.
Should automatic billing fail to occur for any reason, Codex Data Inc. will issue an electronic invoice indicating that you must proceed manually, within a certain deadline date, with the full payment corresponding to the billing period as indicated on the invoice.
Compute Unit Plans
Application. This part of Section 4 applies only to plans for which we measure your use of Service in Compute Units ("Compute Unit Plan"). It does not apply to plans for which we measure your use of Service by number of requests. Those plans continue under the other terms of this Section 4. If this part conflicts with another part of this Section 4, this part governs for a Compute Unit Plan.
Definitions. "Compute Unit" means the unit that we use to measure your use of Service. Each query, each subscription message and each delivered webhook uses a number of Compute Units. That number depends on the operation and on the data that the operation returns. We show the Compute Unit cost of each operation in your dashboard. "Billing Period" means the Billing Cycle of your account. A Billing Period starts on the date on which your Subscription starts or renews. A Billing Period is not a calendar month. For a free Compute Unit Plan, the Billing Period is a period of thirty (30) days that starts when the previous period ends. "Allowance" means the number of Compute Units that your plan includes for each Billing Period. Compute Units that you do not use in a Billing Period expire at the end of that Billing Period and do not carry over. "Overage" means the Compute Units that you use in a Billing Period above your Allowance.
Fees and invoices. A paid Compute Unit Plan has two fees. The first fee is a fixed Subscription fee for the Allowance. We bill the fixed fee in advance for each Billing Period. The second fee is a fee for Overage. We bill Overage in arrears, at the end of the Billing Period in which the Overage occurred. We calculate the Overage fee for each Compute Unit, at the Overage rate that applies to your plan. We show that rate to you before you purchase or change your plan. The invoice for Overage is issued through our third-party payment processor, and you authorize us to charge the invoiced amount to your payment method. Our records of your use of Service are the basis for the Overage fee. The usage and cost figures in your dashboard are estimates. If an estimate and an invoice are different, the invoice governs. All fees, rates and prices for a Compute Unit Plan are in United States dollars (USD).
Auto-scale. "Auto-scale" is an account setting that controls what happens when your use of Service reaches your Allowance. Auto-scale is enabled by default when you purchase a paid Compute Unit Plan. The account owner can disable or enable Auto-scale in the dashboard at any time. Auto-scale is not available on a free Compute Unit Plan.
When Auto-scale is enabled. Service continues after you reach your Allowance, and you agree to pay for all Overage. There is no upper limit on the amount of Overage that you can use or on the Overage fee that you can incur. We may send you notices when your use reaches specified percentages of your Allowance. These notices are a courtesy. You must pay for Overage whether or not you receive a notice.
When Auto-scale is disabled. Your Allowance is the limit of your use. When your use reaches one hundred percent (100%) of your Allowance, we block your API keys and stop delivery of your webhooks. Access stays blocked until the next Billing Period starts, until you upgrade your plan, or until you enable Auto-scale, whichever occurs first. We do not charge a fee for Overage while Auto-scale is disabled. The block is not immediate, and a small quantity of use above your Allowance can occur before the block takes effect. We do not charge for that use. The same limit applies to a free Compute Unit Plan.
Limits on individual API keys. If a limit is set for an individual API key, we block that key when its use reaches that limit. This occurs whether Auto-scale is enabled or disabled.
Upgrades. An upgrade to a plan with a larger Allowance takes effect immediately. When you upgrade, we charge you at once for the difference between the fixed fees of the two plans, prorated for the time that remains in the current Billing Period. If that charge fails, the upgrade does not occur and your plan does not change. The start and end dates of your Billing Period do not change. The new Allowance and the new Overage rate apply to all of your use in the current Billing Period, which includes your use before the upgrade. We waive the Overage fee that accrued under your previous plan in that Billing Period. The waiver is a reduction of your invoice or a credit to your account. It is not a payment to you. You cannot upgrade while an invoice is unpaid, while a plan change is scheduled, or while a cancellation is pending.
Downgrades. A downgrade to a plan with a smaller Allowance takes effect at the end of the current Billing Period. Until then, your current plan, your current Allowance and your current fees continue to apply. We do not refund or credit any part of the fixed fee for the current Billing Period. You can cancel a scheduled downgrade before it takes effect.
Minimum period after an upgrade. You cannot schedule a downgrade during the Billing Period in which an upgrade took effect. You can schedule a downgrade after the next Billing Period starts. That downgrade then takes effect at the end of the Billing Period in which you schedule it. As a result, unless you cancel your Subscription, you pay the fixed fee of the upgraded plan for at least one full Billing Period after the Billing Period in which the upgrade took effect.
Cancellation. A cancellation of a Compute Unit Plan takes effect at the end of the current Billing Period. We do not refund or credit any part of the fixed fee for that Billing Period. After the cancellation takes effect, we issue a final invoice for the Overage of the last Billing Period. Your obligation to pay that invoice, and your authorization to charge it to your payment method, continue after the cancellation. We do not charge for use that we have not recorded when we issue the final invoice.
Non-payment. If an invoice for a Compute Unit Plan is not paid and our payment processor marks it as uncollectible, your account is past due. While your account is past due, we block your API keys and stop delivery of your webhooks. The start of a new Billing Period does not remove the block. We remove the block after you pay the invoice in full. The amounts that you owe stay due while access is blocked.
Plans by agreement. If you have a Compute Unit Plan with an Allowance, fees or an Overage rate that we agreed with you separately, the agreed values apply. Changes to that plan are made by us and not through the dashboard.
Refunds. Section 7 applies to all fees for a Compute Unit Plan, which includes fees for Overage. We do not give a refund or a credit for a downgrade, for a cancellation, or for an Allowance that you do not use.
5. Free Trial
Codex Data Inc. may, at its sole discretion, offer a Subscription with a free trial for a limited period of time ("Free Trial").
You may be required to enter your billing information in order to sign up for Free Trial.
If you do enter your billing information when signing up for Free Trial, you will not be charged by Codex Data Inc. until Free Trial has expired. On the last day of Free Trial period, unless you cancelled your Subscription, you will be automatically charged the applicable Subscription fees for the type of Subscription you have selected.
At any time and without notice, Codex Data Inc. reserves the right to (i) modify Terms of Service of Free Trial offer, or (ii) cancel such Free Trial offer.
6. Fee Changes
Codex Data Inc., in its sole discretion and at any time, may modify Subscription fees for the Subscriptions. Any Subscription fee change will become effective at the end of the then-current Billing Cycle.
Codex Data Inc. will provide you with a reasonable prior notice of any change in Subscription fees to give you an opportunity to terminate your Subscription before such change becomes effective.
Your continued use of Service after Subscription fee change comes into effect constitutes your agreement to pay the modified Subscription fee amount.
7. Refunds
Except when required by law, paid Subscription fees are non-refundable.
The one-time account activation fee described in Section 3 is likewise non-refundable, except where required by law. This applies regardless of whether the fee was paid by card or in USDC, and regardless of how long the account is subsequently used.
